6. Intellectual Property

• Corenzio and its licensors retain all right, title, and interest in the Services, including software, branding, interfaces, and documentation.
• Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Services.
• You retain ownership of your data, content, and records submitted to the Services, and grant us rights necessary to operate and support the Services.

7. Confidentiality and Data

• We will implement reasonable safeguards to protect customer data and confidential information.
• Each party agrees to use confidential information only for purposes related to the Services and not disclose it except as permitted by law or written agreement.
• Privacy and personal data handling are governed by our Privacy Policy and applicable law.

8. Disclaimers and Liability

• The Services are provided on an "as is" and "as available" basis except where express warranties are provided in writing.
• To the fullest extent permitted by law, we disclaim implied warranties including merchantability, fitness for a particular purpose, and non-infringement.
• To the fullest extent permitted by law, Corenzio will not be liable for indirect, incidental, special, consequential, or punitive damages.
• Aggregate liability for claims arising from these Terms shall not exceed amounts paid by you to Corenzio for the Services in the 12 months preceding the event giving rise to the claim.

9. Indemnity

You agree to defend, indemnify, and hold harmless CORENZIO TECHNOLOGIES and its affiliates, officers, employees, and agents from claims, damages, liabilities, and expenses arising out of or related to your misuse of the Services, violation of these Terms, or infringement of third-party rights.

10. Suspension and Termination

• We may suspend or terminate access where reasonably necessary for security, legal compliance, non-payment, or material breach of these Terms.
• You may stop using the Services at any time; termination does not relieve payment obligations accrued before termination.
• Provisions that by nature should survive termination will continue to apply, including ownership, confidentiality, disclaimers, liability limits, indemnity, and dispute terms.

11. Governing Law and Contact

These Terms are governed by applicable laws of India, without regard to conflict-of-law principles. Courts with competent jurisdiction in India shall have exclusive jurisdiction over disputes arising from these Terms, unless otherwise required by law.
